General conditions

1. PURPOSE AND SCOPE

The goods sold on the website https://promuseum.eu are only aimed at professionals for the sole needs of their activity, excluding individuals and for deliveries in mainland France, with the exception of the islands . If an individual wishes to place an order, we invite them to contact the sales department on 01 30 33 99 30 or by email commercial@promuseum.fr. Under no circumstances should they use the online payment available on the site. If an individual were to disregard this ban he would do so in full knowledge of the facts, under his own responsibility, and could not claim a withdrawal period of 7 days upon receipt of his goods.
These general conditions of sale exclusively govern relations between Promuseum and professional customers ordering goods on the site, excluding sales made by mail order from catalogs or quotes.

2. ORDER

Any order implies unreserved acceptance of our general conditions of sale, which can only be waived in a duly signed writing from PROMUSEUM management.
These general conditions of sale cannot be modified by contrary stipulations that may appear on the customer's order forms or in their general conditions of purchase. Given the significant administrative costs, PROMUSEUM reserves the right to refuse orders for an amount less than €100.- excluding taxes. In the event of exceptional acceptance on our part, they will be delivered against reimbursement with application of an additional increase of €30.- excluding VAT for administrative costs.
However, for orders with online payment made on the website, no minimum order or surcharge will be taken into account.

3. TECHNICAL SPECIFICATIONS

The illustrations, photographs, characteristics, dimensions, weights, etc. mentioned on this site are only indicative and not contractual. We reserve the right to make any modifications that we deem appropriate, even after acceptance of the order, without however affecting the essential characteristics.

4. PRICE

The prices of the goods are given as an indication ex-our stores or the factories of our suppliers. The prices indicated cancel and replace the previous prices. They are valid until the next update and can be modified depending on economic variations. Invoices are established excluding tax at the price in effect on the day of delivery, only the price excluding tax being authentic. Packaging is charged extra and not returned. Catalog prices are valid until December 31 of the current calendar year. The offer is valid for 3 months from the day it is published and within the limit of the current calendar year.

5. PAYMENT CONDITIONS

Payment by credit card:

Payment by administrative mandate, by transfer or by check:
The website will not take your order directly into account. All you have to do is send a quote request indicating your payment method and confirm your order by mail or fax. This will be processed upon receipt.

The price is payable in cash, in full on the day of delivery of the products as indicated on the invoice given to the Buyer and at the latest within 30 days of the invoice date.
In the event of late payment and payment of sums due by the Buyer beyond the period of 30 days from the date of the invoice sent to the latter, late payment penalties of 5% of the amount including tax of the purchase price appearing on said invoice, will be automatically and automatically acquired by PROMUSEUM, without any formality or prior notice and will result in the payment of all sums due, without prejudice to any other action that PROMUSEUM may be entitled to take, as such, against the purchaser. “In addition, in application of Article L441-6 of the Commercial Code, a fixed compensation for recovery costs of 40 euros will be applied.”
In the event of non-compliance with the payment conditions appearing above, PROMUSEUM further reserves the right:
- to suspend or cancel delivery of orders in progress by the purchaser.
- to suspend the execution of its obligations.
- to reduce or cancel any discounts granted to the latter.
For orders from communities under public accounting, payment must be made by administrative mandate within the time limit provided for in the public procurement code, unless default interest accrues automatically in accordance with the regulations in force.

6. RESERVATION OF PROPERTY

PROMUSEUM retains full ownership of the delivered goods until full payment of the invoiced price. Until this date, the goods delivered will be considered returnable and the buyer will bear the risk of damage that these goods may suffer or cause for any cause whatsoever. Until full payment, the goods cannot be resold without the prior agreement of PROMUSEUM.
Notwithstanding any contrary provision of this contract, in the event of non-compliance by the buyer with one of the payment deadlines, the seller, without losing any of his rights, may demand by simple registered letter, the return of the goods at the expense of of the buyer until execution by the latter of all of his commitments.

7. DELIVERY

Our goods travel at the recipient's risk, even free of charge. It is up to the customer or agent to check the conformity of the quantities received upon delivery and to record any deterioration noted on the carrier's slip, after checking the integrity of the items delivered. Observations must be precise with the exception of any general reservations such as “subject to unpacking”. They must be confirmed to the carrier within 48 hours, by registered letter with postal acknowledgment of receipt. Failure to comply with these formalities extinguishes any further recourse.
At the same time, all of this information must be sent to us within 48 hours via the website (Members Area / After-Sales Service) for rapid processing of your file.

Delivery times are given for information purposes only and any delays, whatever their causes, importance and consequences, do not entitle the buyer to cancel the sale, refuse the goods or claim damages.

8. CLAIM DEADLINE

To be admitted, all complaints except those relating to transport provided for in article no. 7 above must be made by registered letter with postal acknowledgment of receipt, within eight days of acceptance. by the customer of the goods delivered by the carrier.

9. RETURNS

PROMUSEUM can accept the return of merchandise that does not correspond exactly to what the buyer expected. Such returns are subject to the express conditions below:
- The value of the goods cannot exceed €1,525.- excluding taxes.
- The goods in question must be strictly standard, to the exclusion of any goods specially executed for the buyer or any goods prepared to order or to order.
- Packaging and transport costs, both outward and return, are the responsibility of the buyer.

- The return request must be made no later than eight working days following receipt of the goods by the buyer.
- The returned merchandise must be in absolutely new condition and in its original packaging. It cannot have been used.
- Après réception et acceptation de la marchandise retournée par l'acheteur, PROMUSEUM adresse à ce dernier un avoir calculé sur la base du prix facturé déduction faite des frais de transport et d'une décote de 20 %. Cet avoir étant porté au crédit du compte de l'acheteur dans les livres de PROMUSEUM. Dans tous les cas le crédit sera réalisé en marchandise.

10. LIMITATION OF LIABILITY

The Buyer acknowledges that PROMUSEUM, apart from the warranty liability described in Article 9, is not liable for any damages for damage to property, loss of earnings, loss of production, profit, income or time or any other loss arising directly or indirectly from possible defects in PROMUSEUM's hardware, software and services or from the use thereof.

The hardware and software sold by PROMUSEUM are intended exclusively for the exhibition, conservation and protection of works.

PROMUSEUM shall not be held liable for any loss or damage whatsoever resulting from improper use or use for which the products are not intended, or from the Buyer's inability to use the products offered by PROMUSEUM.

The security hardware and software intended to protect the works are only complementary aids to the Buyer's security services.

The Buyer undertakes to set up its own human surveillance resources and to take out insurance for this purpose.

PROMUSEUM cannot be held liable in the event of damage or theft of the works following a malfunction of its hardware or software.

The maintenance and monitoring of the hardware and software are provided by PROMUSEUM only during PROMUSEUM's working days and opening hours.

The Buyer who has chosen to carry out the installation or monitoring himself will assume full responsibility in the event of a malfunction of the devices or software.

The Buyer undertakes, by ordering PROMUSEUM's radio-connected, WIFI or Ethernet-connected systems, to have read their conditions of use and accepts the fact that their operation may be disrupted due to jamming or interference, without PROMUSEUM being held liable.

All PROMUSEUM's "radio-connected" products (unless otherwise specified) are intended for use on French territory.

In the event of an order for export, the Buyer undertakes to verify that the products ordered comply with the legislation in force in their country.

PROMUSEUM declines all liability in the event of non-compliance with this condition, which may not give rise to any right to damages.

Regarding the cloud hosting and data consultation system offered by PROMUSEUM, it is the Buyer's sole responsibility to ensure the anti-intrusion security of these systems during their implementation against external fraudulent attacks (adequate configuration, changing passwords, using a firewall and any other necessary device).

PROMUSEUM may not be held liable under any circumstances for an external intrusion of any nature and consequences on the connected systems it offers.

In any case, PROMUSEUM's overall liability towards the Buyer may not exceed the amount of the payment received, where applicable, by PROMUSEUM, nor for direct or indirect damages that may result from any loss or use of the products sold.

PROMUSEUM cannot be held responsible for delays or failure to perform its obligations in the event of force majeure, particularly in the event of natural disaster, bad weather, civil unrest, strikes, shortages of products or materials, or abnormal delays by a supplier.

11. ANOMALIES AND HIDDEN DEFECT

Any warranty is excluded in the event of misuse, transport problems, negligence or lack of maintenance on the part of the Buyer. It will be up to the Buyer to provide all supporting documents as to the reality of the defects or anomalies noted. If these parts prove insufficient and require a visual inspection, PROMUSEUM reserves the right to organize the total or partial return of the delivered goods.

If it turns out that this is not a manufacturing defect, the costs of packaging and transporting the goods back and forth will be the responsibility of the Buyer. PROMUSEUM will also send the Buyer a quote for possible repair of the goods at the Buyer's expense. The entire amount of the order remains due regardless of the response to the repair estimate by the Buyer.

Under the legal guarantee Promuseum is only required to replace or repair the goods concerned, to the exclusion of any other request (compensation, resolution, etc.). The Buyer will refrain from intervening himself or involving a third party to remedy the problem observed.

In order to assert his rights, the Buyer must send to PROMUSEUM in writing a detailed description and all supporting documents of the existence of an anomaly or hidden defect within 3 months after the material is made available. .

12. CRIMINAL CLAUSE

The buyer who does not fulfill his contractual obligations within the stipulated deadlines must pay to PROMUSEUM, as damages, an amount corresponding to at least 20% of the amount excluding taxes of the order, if applicable, and in the event of greater damage, PROMUSEUM will claim compensation as appropriate.

13. DISPUTE

In the event of a dispute of any nature, the competent courts are those of the PROMUSEUM headquarters.
